We love to live up to the motto "Love your Clients." Years of legal and entrepreneurial experience have proven the value of clear Terms and Conditions: they provide mutual clarity right from the start.

We apply very client-friendly terms, but we also believe in fair business: delivered services must be paid for.

To accommodate startups and new businesses, we offer a flexible arrangement where costs can be spread over a 2-year period (optionally combined with a maintenance subscription). A true win-win for those who prefer to outsource the technical heavy lifting. These specific conditions will be included separately in your quote when applicable.

Terms and Conditions – VisitEstepona.eu

1. Quotes, Payment & Ownership

  • Validity of Quotes: All our quotes are non-binding and valid for 14 days, unless agreed otherwise in writing. An agreement is concluded as soon as you accept the quote in writing or digitally.

  • Payment Terms: Our invoices have a payment term of 30 days from the invoice date.

    • If payment is overdue, we will first send a friendly reminder.

    • If payment remains outstanding after that, we are unfortunately forced to charge statutory commercial interest and any collection fees, and we reserve the right to temporarily suspend our services.

    • For clients with a history of late payments, subsequent invoices will carry a 14-day payment term. If we have had to send collection notices after two reminders, your next invoice may carry a 7-day payment term.

  • Copyright & Rights of Use: Once a website is paid for in full, we immediately waive any copyright that may apply to the website. This also applies to custom code and all source files. The website is then entirely yours.

  • Premium Licenses: For premium products where we purchase the licenses, you pay an annual usage fee. This is included in all our packages. You are free to purchase your own licenses, but this is usually more expensive and offers fewer features than our developer-level bulk licenses.

  • Scope of Service: Please note that we do not build custom software from scratch. We configure WordPress websites using open-source software and the content provided by you.

2. Liability & Maintenance

When using open-source platforms like WordPress, no party can guarantee that all features, plugins, themes, or templates will function 100% error-free at all times. Therefore, VisitEstepona.eu cannot be held liable for any damages, including lost profits, missed savings, or other incidental damages resulting from the use or temporary unavailability of WordPress or the website created.

We apply a strict liability limit of a maximum of €1,000 per event (except in cases of intent or deliberate recklessness by VisitEstepona.eu). We do this for two key reasons:

  1. Accessible Pricing: We provide high-quality services at an accessible rate. Unlimited risk is out of proportion to our subscription and project fees. To ensure our continuity, we must limit this risk contractually.

  2. Shared Responsibility: Security is a chain that is only as strong as its weakest link. Data breaches and hacks in our field rarely occur due to server errors; they are almost always caused by user-side human factors (e.g., weak WordPress passwords or disabled two-factor authentication). We believe it is fair that security awareness remains a shared responsibility.

How we minimize risks: By installing premium themes and high-quality plugins, we reduce the chance of issues beforehand.

If you want to fully cover remaining risks, you can outsource maintenance to us. Through our maintenance subscriptions (including quality hosting, proactive monitoring, daily backups, and prompt updates), we keep your website secure and resolve technical issues quickly.

Copyright on Your Content: As the client, you guarantee that all elements provided for the website (such as text, images, photos, logos, and designs) are your property or that you have explicit permission to use them. You indemnify VisitEstepona.eu against any third-party claims regarding intellectual property.

3. Hosting, Domain Names & Registries

In the event of bankruptcy or debt restructuring, the following rules apply:

  • Situation A (All invoices paid): Hosting and domains remain active for the remaining paid term. Following consultation with the liquidator or debt counselor, services will be canceled at the next renewal date. In the case of a takeover or restart, we will fully cooperate with the transfer.

  • Situation B (Outstanding invoices): Hosting will be taken offline immediately (or a temporary notification displayed upon request and at the expense of the liquidator), and the domain will be canceled as of the next renewal date. Services will only be reactivated upon full payment of outstanding balances.

  • Domain Quarantine & Recovery: If a canceled domain enters quarantine, restoring it incurs additional costs (indicative fee of approx. €100, subject to domain registry pricing). If no takeover, restart, or payment occurs before the final deadline, all rights to the domain and hosting environment revert to VisitEstepona.eu.

Domain Registries: Domain registrations are subject to the specific terms of the respective issuing registries:

  • .NL domains: General terms for .nl domain holders – SIDN

  • .EU domains: .EU registry terms and conditions

  • .BE domains: General terms for domain name registration – DNS.BE

  • .SE and .NU domains: Terms and Conditions for .SE and .NU Domains

  • .UK domains: Terms and Conditions – Nominet

  • .MOBI, .PRO, .INFO, .ORG domains: Terms and Conditions – Afilias

  • .FRL domains: Registry agreement

  • Uniregistry TLDs: Terms of Service for Uniregistry Supported TLDs

  • ICANN: ICANN Registrant Policy / Domain Name Registration Regulations

4. Duration, Cancellation & Modifications

  • Subscription Duration & Renewal: Maintenance and hosting subscriptions are entered into for the duration specified in the quote or invoice and will automatically renew for the same period unless notice is given in writing.

  • Cancellation Notice (Hosting & Domains): Requires 1 month's notice prior to the end of the current term.

  • Cancellation Notice (Maintenance): Requires 3 months' notice prior to the end of the current term.

  • Changes to Terms: VisitEstepona.eu may unilaterally amend these terms. Changes will be announced 30 days in advance via email or our website before taking effect.

5. Force Majeure

VisitEstepona.eu is not liable for failing to fulfill obligations if prevented by force majeure. This includes, but is not limited to: outages at hosting providers or third-party services, power failures, DDoS or cyberattacks, internet disruptions, and other circumstances beyond our reasonable control. During force majeure, our obligations are suspended.

6. Confidentiality

Both parties agree to maintain strict confidentiality regarding all sensitive information obtained in the course of the agreement, including access credentials and customer data. This obligation continues after the agreement ends.

7. Applicable Law & Disputes

All quotes, agreements, and services provided by VisitEstepona.eu are governed exclusively by Dutch Law (or applicable local law depending on where your legal entity is registered). Any unresolved disputes will be submitted to the competent court in the district where VisitEstepona.eu is registered.
